Corporate Associate (Debt Finance or Fund Formation) | Fully Remote Worldwide – Total Package Up to $500k

Location/Schedule: Fully Remote (Anywhere in the World – US & Global Team)

Total Package: Up to $500k (Cravath-scale base + monthly/annual bonuses)

Practice: Corporate – Debt Finance or Fund Formation. Sophisticated debt facilities, private credit, venture debt, fund formations, and related corporate transactions for emerging companies, lenders, and investors.

Duties and Responsibilities:
• Structure, negotiate, and document complex debt financing transactions (venture debt, asset-based lending, revolving facilities).
• Lead or support fund formation matters for private credit and venture funds.
• Draft and review credit agreements, security documents, intercreditor agreements, and equity documents.
• Advise clients on corporate governance, deal structuring, and closing high-value transactions.

Core Requirements (Flexibility for Exceptional Candidates):
• JD from an accredited law school and active bar admission (NY preferred).
• 5–12+ years of relevant experience in either debt finance (private credit / venture debt) or fund formation at a reputable law firm.
• Strong drafting, negotiation, and business acumen skills.
