Compensation:

$150,000 - $220,000 base salary (commensurate with experience and location)

The Firm A well-established, full-service U.S. law firm with a strong and growing Corporate / M&A practice advising private companies, founders, and private equity-backed businesses on a wide range of mid-market transactions.

The firm operates a collaborative, national platform, offering associates exposure to high-quality transactional work within lean deal teams.

Role Overview The firm is seeking a Corporate / M&A Associate (2-6 years’ experience) to join its transactional team across multiple offices.

This is a hands-on role suited to someone with solid deal experience looking to take on greater responsibility and work more closely with clients and partners on active transactions.

Key Responsibilities
• Work on mergers & acquisitions (buy-side and sell-side)
• Draft and negotiate purchase agreements (APA/SPA)
• Prepare and review disclosure schedules
• Support and lead due diligence processes
• Assist with structuring and executing transactions
• Prepare corporate documents (operating/shareholder agreements)
• Work closely with partners on deal execution and strategy
• Collaborate across a national team

Requirements
• 2-6 years’ Corporate / M&A experience
• Strong drafting experience across transaction documents
• Experience with disclosure schedules and diligence processes
• Exposure to private company and/or private equity transactions
• Strong academic credentials
• Excellent communication and interpersonal skills
• Ability to work in a fast-paced, deal-driven environment
